Financial Promotion Restrictions

The Financial Services and Markets Act 2000, which sets out the regulations governing the UK's financial services industry, and the Financial Services and Markets Act 2000 (Financial Promotion) Order 2005 (as amended) provide for certain exempt classes of investor to undertake investment activity following an investment promotion that has not been approved by a firm authorised by the Financial Conduct Authority.

  1. High Net Worth Individuals: A person qualifies as a high net worth individual if they had, during the financial year immediately preceding the date of their certification, an annual income to the value of £100,000 or more or held net assets to the value of £250,000 or more (excluding principal residence, pension provisions or life insurance) and have signed, within the period of 12 months prior to this promotion being made to them, a statement in a prescribed form.

  2. Self-Certified Sophisticated Investors: A person qualifies as a self-certified sophisticated investor if they have signed, within the period of 12 months prior to a promotion being made to them, a statement in a prescribed form confirming that they are a self-certified sophisticated investor (i) with experience, in the last two years, working in a professional capacity in the private equity sector or the provision of finance for small and medium enterprises; or (ii) being the director of a company with an annual turnover of at least £1 million; or (iii) made two or more investments in an unlisted company in the last two years; or (iv) for at least the past six months being a member of a network or syndicate of business angels, and are still a member.

Further exempt classes are:

  1. Investment Professionals: Those persons generally being authorised under FSMA to engage in investment activity.

  2. Certified Sophisticated Investors: A person qualifies as a certified sophisticated investor if they have a current certificate in writing signed by an authorised person to the effect that the investor is sufficiently knowledgeable to understand the risks associated with an investment of this nature and who has signed, within the period of 12 months prior to this promotion being made to them, a statement in a prescribed form that they qualify as a certified sophisticated investor able to receive exempt promotions.

  3. High Net Worth Companies: a corporation or corporate member of a group which has a called-up share capital or net assets of at least £5 million, or £500,000 if the corporation or parent company has more than 20 members.

  4. Associations: High Net Worth Individuals, Certified Sophisticated Investors, and Self Certified Sophisticated Investors, who operated through an Association.
