Prosper Property Limited, along with group, associate and connected companies (together Prosper), raises loan and equity capital from qualifying investors for selected projects. Investment is limited to qualifying classes of investor meeting the criteria outlined below, and therefore exempt from financial promotions restrictions. Any investment can only be made following the issuing by Prosper of an Information Memorandum and other material for a specific opportunity (the Investment Information) and the investor confirming they meet the exemption criteria, and providing evidence where required. The Investment Information should be read in full, including the section on risk factors.

Risk Warning

The Investment Information relates to investment opportunities that are not easily realisable, speculative and invested capital is at risk of partial or total loss, so may not be suitable for all investors. It is recommended to seek independent financial advice on the suitability of an investment opportunity from an accountant, stockbroker or other independent financial adviser authorised under the Financial Services and Markets Act 2000 (FSMA) and who specialises in advising on investments of the type presented, and taking account of an investor’s personal circumstances. Any investment made should be part of a diversified portfolio across varied asset classes, and are not covered by the Financial Services Compensation Scheme.

The Investment Information is exempt from the general restriction in Section 21 of FSMA on the communication of invitations or inducements to engage in investment activity on the grounds that it is made only to investment professionals, high net worth individuals, high net worth companies, certified sophisticated investors, self-certified sophisticated investors or associations of high net worth or sophisticated investors. Any person who receives this Investment Information who does not fall within the applicable exemptions, set out in Articles 19, 48, 49, 50, 50A and 51 of the Financial Services and Markets Act 2000 (Financial Promotion) Order 2005 (as amended) (the Order), must not act on it or rely on it for any purposes whatsoever.
